These terms apply when you buy an e-book from The Founders' Library, when you access the library as a Future Founders or Founders Ticket holder, and whenever you use any e-book. Please read them before you buy. By completing your purchase or logging in to the library, you agree to them.
1. Who we are
1.1 The Founders' Library is published and sold by Medigi Limited, a company registered in England and Wales (company number 11953188), whose registered office is at 71-75 Shelton Street, London, WC2H 9JQ (we, us, our). The library is presented by the Founders Funding Summit and Cohort Nation.
1.2 You can contact us at helpdesk@foundersfundingsummit.com.
1.3 These terms work alongside the Founders Funding Summit Terms and Conditions and our Privacy Policy. If those terms and these terms conflict on e-books or library access, these terms apply. The Founders Funding Summit Terms and Conditions apply to everything else about your ticket, including attending, transferring and refunding it.
2. Important disclaimer: general information, not advice
2.1 The e-books are general educational guides. They summarise information that is freely available from public bodies such as GOV.UK, HMRC, Companies House, the Intellectual Property Office, the ICO, the FCA and the British Business Bank, and they point you to those sources.
2.2 The e-books are not legal, tax, accounting, financial, investment, regulatory or immigration advice, and they do not take account of your circumstances. In particular:
- Medigi Limited, the Founders Funding Summit and Cohort Nation are not solicitors, accountants, tax advisers, financial advisers or immigration advisers, and are not authorised or regulated by the Financial Conduct Authority or any other regulator to give advice.
- Nothing in the e-books is a recommendation to take, or not take, any action, or an offer, invitation or inducement to buy or sell any investment or to engage in investment activity.
- Mentions of investors, funds, platforms, programmes or companies are for illustration only and are not endorsements. Worked examples use fictional companies and people.
- Laws, tax rules, limits and figures change, sometimes at short notice. Each e-book states the date its information is current to. The official source always takes precedence over any summary in an e-book.
- Before you act, or decide not to act, on anything in an e-book, take advice from a suitably qualified and regulated professional about your own situation.
3. Buying an e-book
3.1 Account. To buy an e-book you need a free account with an email address you have confirmed. Your login is personal to you: keep it secure and do not share it.
3.2 Price. Each e-book costs £25. Prices are in pounds sterling. We are not registered for VAT, so no VAT is charged.
3.3 Payment and contract. Payment is taken through our Shopify checkout. A contract between you and us is formed when your payment succeeds and we email you an order confirmation. That email will also confirm the acknowledgement you gave under clause 5.
3.4 Format. Each e-book is supplied as a downloadable PDF, personalised with your name, email address and a unique copy reference (a watermark).
3.5 Keeping your e-books. E-books you buy individually are yours to keep and use under clause 6.
4. Future Founders and Founders Ticket access
4.1 A Future Founders or Founders Ticket includes access to the full library for 12 months from the date the ticket was purchased. During that period you can log in and download any available e-book. Your access starts as soon as your ticket payment succeeds.
4.2 After 12 months you can no longer log in to download e-books, but you may keep and use copies you downloaded during your access period under clause 6.
4.3 Refunds. Because these tickets include immediate access to the full library, they are non-refundable if you cancel, cannot attend or choose not to attend the Event. If we cancel or materially change the Event, or end your booking for a reason other than your own breach, you keep your library access for the full 12 months, and sections 6.3 and 6.4 of the Founders Funding Summit Terms and Conditions explain what happens to your ticket and when a refund is due.
4.4 If the library closes early. If we close the library or the portal before your 12-month access period ends, you keep every copy you have already downloaded, and we will email you watermarked copies of any available e-books you have not yet downloaded.
5. Your right to cancel
5.1 Individual e-books. You normally have 14 days to cancel a purchase of digital content. However, because e-books are supplied immediately, at checkout we will ask you to agree that supply starts straight away and to confirm that you understand you will lose your right to cancel once the download is made available. If you give that consent and acknowledgement, the 14-day cancellation right ends when the e-book is made available to you.
5.2 Tickets. When you buy a Future Founders or Founders Ticket, our Shopify checkout will ask you to agree that your library access starts straight away and to confirm that you understand you will lose your right to cancel the digital content once access is made available. Your Shopify receipt will confirm that consent and acknowledgement. Tickets for an Event on a specific date are not covered by the 14-day cancellation right in any case.
5.3 This does not affect your rights if an e-book is faulty (see clause 7).
6. Your licence to use the e-books
6.1 We (or our licensors) own all copyright and other intellectual property in the e-books. You are buying a licence to use them, not ownership of the content.
6.2 We grant you a personal, non-exclusive, non-transferable licence to read, download, store and print each e-book for use in your own business or for your own learning. You may share an e-book with your co-founders and your professional advisers, for the purpose of your business only.
6.3 You must not:
- copy, sell, resell, rent, lend, publish or distribute an e-book, or any substantial part of it, to anyone else;
- post an e-book on a website, shared drive, social media or file-sharing service accessible to others;
- remove, hide or alter the watermark or any copyright notice; or
- upload an e-book, or substantial parts of it, to any artificial intelligence tool or dataset for training, or use it to create a competing product.
You may quote short extracts with credit to The Founders' Library, as fair dealing allows.
6.4 Watermarks identify the licensee of each copy. If we reasonably believe you have breached this clause, we may suspend or end your library access and take further action to protect our rights.
7. Your rights under the Consumer Rights Act 2015
7.1 Who these rights apply to. If you buy as a consumer (for purposes wholly or mainly outside your trade, business or profession), the Consumer Rights Act 2015 gives you legal rights in the e-books. They also apply to e-books you access as part of a paid Future Founders or Founders Ticket bought as a consumer. If you buy for your business, your rights are set out in clauses 8 and 14 and in the law that applies to business contracts.
7.2 What the law requires. Each e-book we supply must be:
- of satisfactory quality: free from defects such as a corrupted, incomplete or unreadable file;
- fit for purpose: usable as a general educational guide, which is the purpose we describe; and
- as described: matching the title, description and information we gave you before you bought it.
7.3 What we will do if an e-book is faulty. Tell us at helpdesk@foundersfundingsummit.com. We will:
- first, replace or repair it (for example, by supplying a fresh copy) free of charge, within a reasonable time and without significant inconvenience to you; and
- if a replacement or repair is not possible, or does not fix the problem within a reasonable time, give you a price reduction, which may be a full refund of the price you paid for that e-book.
Refunds are made within 14 days of us agreeing that you are entitled to one, using the payment method you used.
7.4 Faults that appear soon after purchase. If a fault appears within six months of supply, it is presumed to have been there when we supplied the e-book, unless we can show otherwise.
7.5 Damage to your device. If an e-book we supply damages your device or other digital content, and this happened because we did not use reasonable care and skill, we will either repair the damage or pay you reasonable compensation.
7.6 What is not a fault. The following are not faults under the Act:
- information becoming out of date after the "information current to" date stated in the e-book;
- a decision you make, or do not make, after reading an e-book (see clause 2); and
- problems caused by your own device, software or internet connection, or by you altering the file.
7.7 Your other rights. Nothing in these terms affects your statutory rights. For more information, contact Citizens Advice (citizensadvice.org.uk).
8. Our liability to you
8.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the laws of England and Wales. Nothing affects your statutory rights as a consumer.
8.2 Because the e-books are general information and not advice (clause 2), we are not responsible for any loss arising from your reliance on them, or from any decision you make, or do not make, after reading them.
8.3 If you are a consumer. We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, but not for loss that was not foreseeable. E-books bought as a consumer are for your own learning, so we are not liable to you for any business losses, such as loss of profit, revenue, business, investment, funding or opportunity.
8.4 If you buy for your business. To the extent the law allows, we are not liable for loss of profit, revenue, business, investment, funding or opportunity, loss of or damage to data, or any indirect or consequential loss.
8.5 Subject to clauses 7 and 8.1, our total liability to you in connection with any e-book is limited to the greater of £25 or the amount you paid for that e-book.
8.6 These limits also protect the Founders Funding Summit, Cohort Nation and our and their owners, directors, officers, employees, contractors, partners, sponsors, speakers and contributors, who may rely on clauses 2 and 8 under the Contracts (Rights of Third Parties) Act 1999. No one else has rights under these terms.
9. Links and third-party content
The e-books link to websites run by others, including government bodies. We are not responsible for their content, availability or accuracy. Third-party names, trade marks and data belong to their owners.
10. Updates
We may update or correct e-books, for example after a Budget or a change in law. Future Founders and Founders Ticket holders can download the current edition during their access period. We are not obliged to send updated editions to buyers of individual e-books.
11. Your personal data
11.1 We use your name and email address to process your order, provide library access, watermark your e-books and keep a record of downloads to protect our copyright. We handle personal data in line with UK data protection law. See our Privacy Policy for details.
11.2 Your name and email address appear in the watermark on every copy. If you share an e-book with your co-founders or advisers under clause 6.2, they will be able to see these details.
12. Changes to these terms
12.1 We may update these terms to reflect changes in law, the library or how we sell e-books. We will email account holders about material changes at least 30 days before they take effect. Minor changes, such as corrections, take effect when published.
12.2 The version in force when you buy applies to that purchase. Changes will not reduce your rights to e-books you have already bought, or your access during a 12-month access period you have already paid for.
13. Complaints and contact
If you have a problem or complaint, email helpdesk@foundersfundingsummit.com and we aim to respond within 10 working days.
14. General
14.1 If any part of these terms is found unenforceable, the rest remains in effect.
14.2 These terms are governed by the laws of England and Wales. You and we may bring proceedings in the courts of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
